Alldaytix Ticketing Platform: Terms and Conditions

Effective Date: September 1st, 2024

By using Alldaytix, a service provided by Alldaytix, customers (event organizers, promoters, and purchasers) agree to the following Terms and Conditions, applicable within the state of California and the USA.

1. Service Overview

Alldaytix is a ticketing platform provided by Alldaytix that facilitates the sale and distribution of tickets for events. The platform can be used by third-party event organizers to sell tickets either via a white-label solution, where organizers handle their own payment processing, or through Alldaytix's managed sales system.

2. Organizer Responsibilities

  • Event organizers are solely responsible for the planning, execution, and legal compliance of their events, including but not limited to obtaining any necessary permits, health and safety regulations, and compliance with local, state, and federal laws.

  • Event organizers must provide accurate event information and are solely responsible for disputes related to the event, such as cancellations, postponements, or changes.

3. Payment Processing and Liability

  • Direct Payment Setup: Event organizers are strongly encouraged to set up their own Stripe or PayPal accounts to receive funds directly. By doing so, Alldaytix assumes no responsibility for payment processing, refunds, chargebacks, or disputes.

  • Managed Sales Option: For organizers who opt to have Alldaytix handle ticket sales and payment processing:

    • Funds Flow: Alldaytix will collect funds from ticket purchasers and transfer the net proceeds to the organizer within 7-14 business days after the event's successful completion. The net proceeds will be calculated after deducting service fees, processing fees, and any applicable taxes.

    • Disputes & Chargebacks: The event organizer assumes full responsibility for handling any disputes or chargebacks related to the event. Alldaytix is not liable for any chargebacks or associated fees that may arise due to customer disputes, including but not limited to event cancellations, dissatisfaction with the event, or issues related to entry or seating.

4. Refunds and Cancellations

  • Refund Policy: Event organizers must clearly communicate their refund policy at the time of ticket purchase. If an event is canceled or significantly altered, the organizer is solely responsible for issuing refunds. Alldaytix will assist in processing refunds only where the ticketing platform has handled the transaction, and such assistance will be limited to funds still held by Alldaytix.

  • California Cancellation Policy Compliance: Event organizers must comply with California’s laws regarding event cancellation and refund policies, including the California Business and Professions Code (Section 22507) which requires refunds for canceled events unless expressly stated otherwise at the time of sale.

  • Organizer-Initiated Cancellations: In the case of event cancellation, postponement, or rescheduling, the event organizer is required to notify Alldaytix Agency immediately. Alldaytix reserves the right to withhold funds if an event is canceled, and refunds are required.

5. Liability Limitation

  • Platform Use: Alldaytix provides the ticketing platform as-is and disclaims all liability for issues arising from the use of the platform, including technical failures, unauthorized access, and delays in processing payments. The organizer acknowledges that Alldaytix is not liable for the actual performance of the event.

  • No Guarantee of Sales: Alldaytix makes no guarantees regarding the number of tickets that will be sold or the success of the event.

  • Third-Party Actions: Alldaytix is not responsible for the actions, omissions, or misconduct of third parties, including but not limited to payment processors (e.g., Stripe, PayPal) and attendees.

6. Service Fees and Taxes

  • Fees: Alldaytix charges a service fee for each ticket sold via the platform. The specific fee structure will be outlined in the agreement between Alldaytix and the event organizer.

  • Taxes: It is the responsibility of the event organizer to collect, report, and remit any taxes applicable to ticket sales or the event, including local and state taxes. Alldaytix will not be held liable for any tax-related issues.

7. Indemnification

Event organizers agree to indemnify, defend, and hold harmless Alldaytix, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Any breach by the organizer of these Terms and Conditions.

  • Any issues, damages, or losses related to the organization or execution of the event.

  • Any disputes or legal claims brought by ticket purchasers or third parties related to the event.

8. Event Attendance and Safety

Alldaytix is not responsible for ensuring the safety or security of event attendees. Event organizers are solely responsible for providing adequate safety measures, security personnel, and emergency procedures in accordance with California and federal regulations, including compliance with the Americans with Disabilities Act (ADA) and other applicable laws.

9. Data Protection and Privacy

Alldaytix will collect and use personal information of ticket purchasers in accordance with its Privacy Policy, compliant with the California Consumer Privacy Act (CCPA). Event organizers are responsible for complying with all applicable data protection laws in relation to any personal data they access through Alldaytix.

10. Dispute Resolution

In the event of a dispute arising from the use of the Alldaytix platform:

  • Binding Arbitration: Any disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration will take place in California, and the arbitrator's decision will be final and binding.

  • Class Action Waiver: Organizers and purchasers waive their right to participate in any class-action lawsuits against Alldaytix.

11. Modifications

Alldaytix reserves the right to modify or amend these Terms and Conditions at any time. Event organizers will be notified of any significant changes, and continued use of the platform constitutes acceptance of the updated terms.

12. Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of the State of California and the federal laws of the United States. Any disputes arising under these terms will be subject to the exclusive jurisdiction of the state and federal courts located in California.
